Terms of Use — FistBump

These Terms of Use ("Terms") are a legal agreement between you and FistBump ("FistBump", "we", "us", or "our") governing your use of the FistBump mobile application and related services (the "App" or "Service").

By downloading, accessing, or using the App, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the App.

1. The Service

FistBump connects content creators with brands and agencies. This App is the creator-side application. It lets you receive and accept brand deals, sign agreements electronically, upload content deliverables, communicate with brand contacts, and receive payments for accepted work.

FistBump provides the platform that facilitates these collaborations. Unless expressly stated otherwise, FistBump is not a party to the agreement between you and a brand or agency; the commercial terms of each deal are between you and the relevant brand/agency.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to use the App. By using the App, you represent and warrant that you meet these requirements and that the information you provide is accurate and complete.

3. Your account

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
You agree to provide accurate information and to keep it up to date.
Notify us immediately at support@fist-bump.eu of any unauthorized use of your account.
You may delete your account at any time (Profile → Settings → Delete account). Certain records may be retained as described in our Privacy Policy and in Section 11.

4. Deals, agreements, and payments

Deals. Brands/agencies may offer you deals through the App. Accepting a deal and any associated agreement creates obligations between you and that brand/agency.
Electronic signatures. When you sign an agreement in the App, you consent to sign electronically, and you agree that your electronic signature is valid and enforceable. We record evidence of the signing (timestamp, IP address, device information, and the document version) to support the agreement's validity.
Deliverables. You agree to produce and submit content in line with the applicable brief and agreement, and to have all rights necessary to grant the usage rights described in that agreement.
Payments. Payments to you are processed by third-party providers (Stripe and PayPal). You are responsible for providing accurate payout information and for any taxes owed on amounts you receive. Payment timing and conditions follow the applicable deal/agreement and the providers' terms.

5. Your content and license

You own your content. You retain ownership of the content you create and upload ("Your Content").
License to operate the Service. You grant FistBump a limited, worldwide, non-exclusive, royalty-free license to host, store, reproduce, and display Your Content solely to operate and provide the Service (for example, to deliver it to the relevant brand/agency for review).
License to brands. The usage rights a brand/agency receives in Your Content are defined by the agreement you sign with them, not by these Terms.
Your responsibilities. You represent that Your Content does not infringe any third party's rights, is not unlawful, and complies with applicable platform rules and the relevant brief.

6. Acceptable use

You agree not to:

Use the App for any unlawful, fraudulent, or harmful purpose.
Upload content that is illegal, infringing, defamatory, hateful, sexually explicit involving minors, or that violates any third party's rights.
Misrepresent your identity, metrics, or the origin/authenticity of your content.
Interfere with, disrupt, or attempt to gain unauthorized access to the Service or its systems.
Reverse engineer, scrape, or copy the App except as permitted by law.
Use the Service to send spam or to harass others.

We may suspend or terminate access for violations of these Terms.

7. Intellectual property

The App, including its software, design, trademarks, and content (excluding Your Content), is owned by FistBump or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the App for its intended purpose. All rights not expressly granted are reserved.

8. Third-party services

The App relies on third-party services (for example, payment processors, sign-in, and social-platform connections). Your use of those services may be subject to their own terms and policies. We are not responsible for third-party services.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any particular deal, payment, or outcome will result from your use of the App.

10. Limitation of liability

To the maximum extent permitted by law, FistBump and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill, arising out of or related to your use of the Service. To the maximum extent permitted by law, our total liability for any claim relating to the Service will not exceed the greater of (a) the amounts we received from you for the Service in the 12 months before the claim, or (b) EUR 100.

Nothing in these Terms excludes liability that cannot be excluded under applicable law (for example, certain consumer-protection rights).

11. Suspension and termination

We may suspend or terminate your access to the Service at any time if you breach these Terms or if we reasonably believe your use poses a risk to FistBump, other users, or third parties. You may stop using the Service and delete your account at any time. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and governing law) will survive.

12. Changes to the Service and to these Terms

We may modify the Service or these Terms from time to time. If we make material changes to these Terms, we will notify you through the App or by email and update the "Last updated" date. Your continued use after changes take effect means you accept the updated Terms.

13. Governing law and disputes

These Terms are governed by the laws of the European Union, without regard to conflict-of-laws rules. Any disputes will be subject to the exclusive jurisdiction of the courts located in the European Union, except where applicable law grants you the right to bring proceedings in your country of residence.
